By accessing or using the Diagnosit website and SaaS platform (the “Service”), operated by Diagnosit LLC, a private limited-liability company (the “Company”), registered at Shams Business Center, Sharjah Media City Free Zone, UAE, you agree to these Terms & Conditions (the “Agreement”).

1. Definitions

“Service” means the Diagnosit SaaS platform and all associated software, features, and content.“User” means you and any permitted employee or contractor accessing the Service under your account.“Content” means any data, materials, or information you upload, generate, or display via the Service.

2. License Grant

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only.

3. Intended Use & Medical Disclaimer

Diagnosit is intended for use by licensed dental professionals only. It does not dispense medical or dental advice. All clinical decisions, diagnoses, and treatments remain the sole responsibility of the practitioner.

WE DO NOT GIVE MEDICAL OR DENTAL ADVICE.

4. User Obligations

• Maintain the confidentiality of your account credentials.
• Use the Service in compliance with all applicable laws and regulations.
• Do not reverse-engineer, decompile, or attempt to extract source code.
• Respect all intellectual property rights in the Service and any third-party materials.

5. Subscriptions & Free Trial

You may subscribe on a monthly basis or choose our annual plan. Each plan includes a 7-day free trial. Unless you cancel before the trial ends, your payment method will be charged as follows:

• Starter Plan – Monthly: 200$ billed monthly
• Starter Plan – Annual: 1920$ billed once per year (equivalent to 160$/month)
• Pro Plan – Monthly: 300$ billed monthly
• Pro Plan – Annual: 2880$ billed once per year (equivalent to 240$/month)
• Business Plan – Monthly: 400$ billed monthly
• Business Plan – Annual: 3840$ billed once per year (equivalent to 320$/month)

6. Payments

All payments are processed securely via Paddle.com. Diagnosit LLC does not store or access your payment details. See our Refund Policy for full cancellation and refund terms.

7. Suspension & Termination

We may suspend or terminate your access if you breach this Agreement, fail to pay fees, or misuse the Service. Upon termination, your right to use the Service immediately ends.

8. Indemnification

You agree to indemnify and hold harmless Diagnosit LLC, its affiliates and their respective officers, directors, employees, and agents from any claims, damages, or losses arising out of your use of the Service or violation of this Agreement.

9. Limitation of Liability

IN NO EVENT WILL DIAGNOSIT LLC’S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU HAVE PAID IN THE PRIOR 12 MONTHS OR (B) USD 100. DIAGNOSIT LLC IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

10. Confidentiality

Each party shall keep the other’s non-public information—such as business plans, technical data, and user data—strictly confidential and use it only to perform under this Agreement.

11. Copyright & DMCA

If you believe content on our Service infringes your copyright, please email care@diagnosit.com with: (a) identification of the copyrighted work, (b) location of the infringing material, (c) your contact info, and (d) a statement under penalty of perjury.

12. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, such as natural disasters, war, or internet outages.

13. Governing Law

This Agreement is governed by the laws of the United Arab Emirates. Any dispute will be resolved in the courts of the UAE.

14. Changes to This Agreement

We may modify these Terms at any time by posting updates here. Continued use after changes constitutes acceptance.
